Following the trial period, you have the option to subscribe to continue accessing our services. If you choose not to subscribe, access to the services will cease. This section outlines the key obligations Chekku commits to our subscribers, as well as the responsibilities you, as a subscriber, commit to us. Our relationship is based on mutual trust and adherence to these obligations ensures a productive and secure experience for all parties involved.

   • Service Provision: We commit to providing you with the Services as described in the subscription plan you selected during the signup process. This includes all features and functionalities associated with your chosen plan, as detailed on our website and in any subsequent communications, such as the Auto-Renewal Notice for continuing subscriptions.
2. Your Key Obligations to Us
   As a subscriber, you play a crucial role in the integrity and security of our platform. You must:
   • Contact Information: Provide us with an active email address and a mobile telephone number (and optionally a landline number) for direct communications and to receive service-related notices.
   • Business Information: Supply your current, valid ABN (or equivalent business registration number for your jurisdiction) and details of any licenses or qualifications required for your business operations.
   • Account Security: Maintain the confidentiality of your account details, promptly notify us of any unauthorized account activity, and ensure all account information remains accurate and up-to-date.
   • Professional Conduct: Use the Services only for lawful and intended business purposes, ensuring that your interactions on the platform reflect professionalism and respect for all users.

You agree not to use the Services in any way that:

• Misrepresents your identity or qualifications.
• Infringes on the intellectual property rights of others.
• Violates any applicable laws or regulations.

   • Proprietary Boundaries: Chekku grants you a non-exclusive, limited right to access the array of tools and resources provided. It is expressly forbidden to reproduce, redistribute, or otherwise commercially exploit any aspects of the Services without obtaining prior written consent from Chekku.
   • Intellectual Property Respect: You shall not engage in reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying algorithms of the Services. All such actions are strictly prohibited as they infringe upon Chekku’s intellectual property rights.
3. Service Alterations and Continuity:

To this end, we reserve the unfettered right to modify, augment, or retire features or aspects of the Services at our discretion. 5. Payments, Renewals, and Cancellations

1. Payment Terms:
   • Subscription Fee Commitment: Upon subscribing to Chekku, you agree to honour the fee structure specific to the chosen subscription plan. The fees, detailed on Chekku’s platform and subscription agreement, will be billed in advance, reflecting a commitment to the billing cycle outlined in your chosen plan.
   • Billing Accuracy: It is your responsibility to ensure that billing information is accurate and that sufficient funds are available to cover the subscription fee. You agree to promptly update all information to maintain the accuracy and validity of your financial commitment.
   • Fee Adjustments: Chekku reserves the right to modify subscription fees. Any changes to the fee structure will be communicated to you with a minimum of thirty (30) days’ notice prior to your next billing cycle.
2. Renewal Policy:
   • Automatic Renewal: Your subscription plan includes an automatic renewal feature, ensuring uninterrupted access to Chekku’s services. Unless you express your intent not to renew by cancelling your subscription before the end of the current subscription period, the renewal process is automatic.
   • Renewal Confirmation: A reminder notice will be sent to your registered email address before the renewal occurs, confirming the terms of the renewal and the date of the next billing cycle.
   • Payment on Renewal: Upon the renewal of your subscription, the then-current subscription fee will be charged to the payment method on file without requiring further authorisation.
3. Cancellation Process:
   • Right to Cancel: You have the unfettered right to cancel your subscription at any point during your billing cycle. This can be done by contacting our customer support team on 1800 243 885 or support@chekku.au
   • Cancellation Procedure: To cancel, you must complete the cancellation process at least 48 hours before the end of the current subscription period to avoid being charged for the next cycle.
   • Refund Policy: In the spirit of fairness and commitment to customer satisfaction, Chekku does not provide refunds for any subscription cancellations. All cancellations will take effect at the end of the current billing cycle, ensuring you retain access to Chekku services until that period concludes.
   • Effect of Cancellation: Upon cancellation, your account will revert to a non-billing, inactive status at the end of the billing period. You will retain the ability to access and export your data for a limited time as detailed in Chekku’s data retention policy.
4. Late Payments & Non-Payment:
   • Late Payment Consequences: In cases of late payment, Chekku may suspend access to services until all outstanding payments have been made. A late fee may be applied to any payment not received within fifteen (15) days of the due date.
   • Non-payment and Collection: Should your account remain delinquent, Chekku reserves the right to send the overdue account to a collections agency or pursue legal action to recover the owed amounts.
5. Payment Disputes:
   • Dispute Notification: If you believe a billing error has occurred, you must notify Chekku within thirty (30) days of the invoice date. Chekku will investigate and resolve the issue in a timely manner.
   • Good Faith Resolution: Chekku is committed to ensuring billing fairness. We will work with you in good faith to resolve any payment disputes and provide evidence of charges where necessary.

By subscribing to Chekku, you are agreeing to the terms outlined in this Payments, Renewals, and Cancellations section. Chekku is committed to transparency in its billing practices and to providing you with high-quality service and support throughout your subscription term.

6. Intellectual Property Rights and Contributions

1. Proprietary Rights:
   • Ownership of Services: Chekku, including but not limited to all software, databases, algorithms, user interfaces, proprietary tools, graphics, user content, designs, editorial content, and all other components and sections of the Services, are the exclusive property of Chekku Inc. or its licensors. This includes all rights, title, and interest, whether the intellectual property is registered or unregistered, and wherever in the world those rights may exist. As a user, you are granted a non-exclusive, limited, revocable license to use the Services in accordance with these Terms.
   • Protection of Intellectual Property: All trademarks, service marks, logos, trade names, and any other proprietary designations of Chekku used herein are trademarks or registered trademarks of Chekku Inc. Any other trademarks, service marks, logos, trade names, and any other proprietary designations are the trademarks or registered trademarks of their respective parties.
   • Reservation of Rights: All rights not expressly granted to users are reserved by Chekku Inc. and its licensors. Unauthorised use of the Services may violate copyright and trademark laws and other statutes, possibly resulting in both civil and criminal penalties.
2. User Contributions:
   • Feedback Provision: You may, but are not required to, provide feedback, suggestions, ideas, reports, or other information about the Services or your user experience (“Contributions”).
   • Right of Use: By sharing any Contributions, you grant Chekku Inc. a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, distribute, create derivative works from, display, perform, and otherwise exploit the Contributions for any purpose, without acknowledgment or compensation to you.
   • Contribution Authenticity: You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the license outlined in 5.2 for any Contributions that you provide.
3. Feedback and Innovation:
   • Incorporation of Feedback: Chekku Pty Ltd. appreciates your input and is committed to considering user feedback for continual improvement of the Services. However, by providing feedback, you agree that you are not entitled to any compensation, credit, or notice whatsoever and that Chekku Pty Ltd. may, at its sole discretion, use the feedback in its products and services without any obligation to you.
   • No Confidentiality: Unless a separate nondisclosure agreement is in force between you and Chekku Pty Ltd., any feedback provided will be considered non-confidential. Chekku Pty Ltd. will be free to use this information on an unrestricted basis without any obligation to you.
4. Prohibited Use:
   • Intellectual Property Violations: You may not use the Services to infringe the intellectual property rights of others, nor may you allow any third party to use your account for activities that infringe the intellectual property rights of others.
   • Prevention of Unauthorised Use: You must immediately notify Chekku Pty Ltd. in writing upon your discovery of any unauthorised use or infringement of the Services, or Chekku Pty Ltd’s intellectual property rights.

     • Scope of Information: The shared information may include business name, contact details, professional qualifications, portfolio examples, customer reviews, and any other relevant information that forms part of the subscriber’s business profile on Chekku.

    • Acknowledgment of Disclosure: By responding to leads or job opportunities, subscribers acknowledge and consent to the disclosure of their business profile and necessary information to job posters for the purpose of job opportunity review and business engagement.
    • Control Over Information: Subscribers have the right to control which aspects of their profile and related information are shared, subject to the minimum requirements necessary for responding to job postings.
  • Data Handling by Job Posters:
    • Third-Party Privacy Obligations: Job posters receiving subscriber information are informed of their responsibility to protect the privacy of the information received and are bound by the same principles of data protection as outlined in Chekku’s Privacy Policy.
    • Restrictions on Use: Job posters are restricted from using the information for any purpose other than evaluating the subscriber’s suitability for the posted job opportunity. Any further processing, sharing, or commercial exploitation of the subscriber’s information by job posters without explicit consent is prohibited.
  • Transparency and Tracking:
    • Visibility on Information Sharing: Chekku provides subscribers with transparency regarding when and with whom their information is shared.
    • Records of Disclosure: Chekku maintains records of disclosures made to job posters, which can be accessed by subscribers upon request.
  • Privacy Policy Inclusion:
    • Incorporation by Reference: This section on sharing information with job posters shall be considered part of the overall Privacy Policy and adheres to the same principles of data privacy, user consent, and rights to access and rectification.

This Section 6 establishes the foundational principles and practices of Chekku’s approach to privacy and data protection. Users are encouraged to review the Privacy Policy in full to understand their rights and our obligations. Your continued use of the Services constitutes your agreement to this Privacy and Data Protection policy and any updates thereof.

8. Disclaimer of Warranties; Limitation of Liability

   • Express Disclaimer: Chekku provides the Services on an “as is” and “as available” basis without any warranty or condition, express, implied, or statutory. Chekku specifically disclaims any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. We do not guarantee continuous, uninterrupted access to the Services, and operation of the Services may be interfered with by numerous factors outside of our control.
   • Service Availability: While Chekku strives to maintain the reliability and accuracy of the Services, we make no representations about the reliability, accuracy, completeness, or timeliness of any data or information on the Services.
   • Third-Party Actions and Content: Chekku is not responsible for the actions, content, information, or data of third parties and you release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties.
2. Limitation of Liability:
   • General Limitation: To the fullest extent permitted by law, in no event will Chekku, including our directors, employees, agents, or shareholders, be liable for any indirect, special, incidental, punitive, exemplary, or consequential damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
     • Your access to, use of, inability to access, or the performance of the Services;
     • Any unauthorised access to or use of our servers and/or any personal information stored therein;
     • Any interruption or cessation of transmission to or from the Services;
     • Any bugs, viruses, trojan horses, or the like which may be transmitted to or through our Services;
     • The outcomes of your interactions with other users of the Services;
     • Any content or information obtained from the Services; or
     • The deletion or failure to store or transmit any content and other communications maintained by the Services.
   • Cap on Liability: Under no circumstances will Chekku’s aggregate liability for all claims relating to the Services exceed the greater of $1000 AUD or the amount you paid Chekku, if any, in the last 12 months.
   • User Information Exchange: Chekku shall not be liable for any disclosure, use, or data loss of the information that you choose to disclose or communicate to other users through the leads or job opportunity response features.
3. User Responsibility:
   • Assumption of Risk: You understand and agree that you use the Services at your own discretion and risk and that you are solely responsible for any damage to your computer or other devices or loss of data that results from such use.
   • Indemnification: Furthermore, you agree to indemnify and hold Chekku harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Chekku by any third party due to or arising out of or in connection with your use of the Services.
4. Jurisdictional Limitations:
   Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you if you reside in such a jurisdiction.
5. Acknowledgment of Terms:
   By using the Services, you acknowledge that you have read and understood this disclaimer and agree to be bound by its terms.

This Section 7 constitutes the complete and exclusive understanding between Chekku and you regarding its subject matter and supersedes and governs any and all prior agreements or communications.

9. Indemnification

1. Obligation to Indemnify:
   • Scope of Indemnification: You agree to indemnify, defend, and hold harmless Chekku, its affiliates, and their respective officers, directors, employees, agents, licensors, representatives, and third-party providers to the Services from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms by you. This indemnification applies to but is not limited to:
     • Your unauthorised use of material obtained through the Services;
     • Any breach by you of these Terms, including but not limited to the representations and warranties made herein;
     • Your use of the Services or activities in connection with the Services;
     • Your violation of any law or the rights of a third party;
     • Any content submitted by you or using your account to the Services, including but not limited to claims of infringement upon the intellectual property or other rights of third parties;
     • Any activity related to your account, be it by you or by any other person accessing your account with or without your consent unless such activities were caused by the act or default of Chekku.
2. Notification and Cooperation:
   • Prompt Notification: In the event of any potential indemnity obligation under this section, we will promptly notify you of the claim for which indemnity is sought and will afford you the opportunity to participate in the defence of such claim, provided that your participation will not be conducted in a manner prejudicial to Chekku’s interests, as reasonably determined by Chekku.
   • Cooperation: You shall fully cooperate with Chekku in the defence of any claim. Chekku reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you.
3. Settlement Authority:
   • Approval Required: You must not settle any indemnified claim without Chekku’s prior written consent, which shall not be unreasonably withheld.
   • Chekku’s Right to Settle: Chekku may settle any claim without your prior consent if it relates solely to a monetary demand and does not impose an injunction or other equitable relief upon you.
4. Indemnity Cap:
   • Limit on Indemnity: Your indemnity obligation shall not exceed the total amount paid by you to Chekku for the Services during the twelve (12) months immediately preceding the claim.
5. Survival:
   • Post-Termination Obligations: Your indemnification obligations under this Section will survive the termination of your use of the Services or these Terms.
